CANADIAN COUNTRY MUSIC ASSOCIATION

PROPOSED BY-LAW CHANGES

 

 

The current By-laws in section 3.04 a) & b) of the Canadian Country Music Association read as follows:

 

3.04 TERM OF OFFICE OF DIRECTORS

 

a)   TERM OF OFFICE OF DIRECTORS

 

All elected directors shall serve a 2 year term. Directors elected in an even numbered year shall serve until the next annual meeting in an even numbered year. Directors elected in an odd numbered year shall serve until the next annual meeting in an odd numbered year. Four directors shall be elected in even numbered years and four directors shall be elected in each odd numbered year.

 

b)   LIMITATION OF TERM OF OFFICE OF DIRECTORS

 

Elected directors are limited to serve no more than 3 consecutive terms of office and thereafter cannot seek any further election to the Board of Directors for 1 year following the 3 terms.

 

It was discussed and decided by the CCMA Board of Directors at the June 22, 2009 Board meeting, that an elected Board member serving only a 2 year term does not allow enough time for the completion of their learning curve in order to meet their full potential with the Association. It was therefore proposed to extend the term of an elected Director to 3 years.

 

 

The proposed By-law changes for section 3.04 a) & b) of the Canadian Country Music Association read as follows:

 

3.04 TERM OF OFFICE OF DIRECTORS

 

a)   TERM OF OFFICE OF DIRECTORS

 

All elected directors shall serve a consecutive 3 year term. Four directors shall be elected in one year and four directors shall be elected the year immediately following. The year following the second consecutive election, no elections will take place as all directors will be in the second or third year of their term.

 

b)   LIMITATION OF TERM OF OFFICE OF DIRECTORS

 

Elected directors are limited to serve no more than 2 consecutive terms (6 years) of office and thereafter cannot seek any further election to the Board of Directors for 1 year following the 2 terms.

 

Membership voting to enact or deny this By-law change will take place on Sunday September 13, 2009 at the Annual General Meeting taking place in Vancouver, BC at the Hyatt Regency Hotel, Georgia A&B Meeting Room from 10:00am-11:00am.
